1. Agreement to Terms

By accessing or using Nxora Digital's services ("Services"), including our commercial invoice audit and cost recovery services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Description of Services

Nxora Digital provides automated commercial billing analysis and contingency-based cost recovery for businesses. Our Services include:

• Analysis of commercial invoices (waste hauling, gas/propane, linen services, and other vendor categories)
• Generation of audit reports identifying potential billing discrepancies
• Preparation of factual dispute emails for you to review and send to your vendors
• Contingency-based cost recovery — we work to get money back from your vendors on your behalf

3. What Our Reports Are (and Are Not)

Our audit reports identify potential discrepancies between your invoices and standard industry rates or your contract terms. These reports are informational tools only. They are:

• Not legal advice. Nxora is a billing audit tool. We do not provide legal advice.
• Not accounting advice. We are not CPAs. Our reports do not replace professional accounting services.
• Not guaranteed savings. We identify what appears to be overcharged. Whether your vendor agrees and issues a credit is between you and your vendor.

Dispute emails are factual billing inquiries prepared by our system. You review and send them yourself.

4. Payment Terms

By using Nxora, you agree to pay 30% of any amount successfully recovered as a result of our audit. All fees are in US Dollars (USD).

• Contingency model: You pay nothing upfront. Our fee is 30% of the savings we recover for you. If we don't find savings, you owe nothing.
• Payment timing: Payment is due within 14 days of receiving a vendor credit.
• Payment method: Payments are processed via PayPal invoice. After we recover money from your vendor, we send you a PayPal invoice for our 30% fee.

5. Refund Policy

Because our service operates on a contingency basis, there is no upfront payment to refund. You only pay when we successfully recover money for you. If our audit finds no discrepancies in your invoice, you owe us nothing.

6. Your Data

You retain full ownership of all invoices, contracts, and documents you share with us. We use your data solely to generate your audit report. See our Privacy Policy for details on how we handle your information.

7. Confidentiality

We understand that the financial documents you share with us are sensitive. We treat all client invoices and business data as strictly confidential. We will never share, sell, or disclose your data to third parties unless required by law.

8. Limitation of Liability

To the maximum extent permitted by law, Nxora Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Intellectual Property

All content, technology, and methodologies used in our audit engine are the intellectual property of Nxora Digital. You may not reverse-engineer, copy, or redistribute our audit algorithms or report formats.

10. Termination

We reserve the right to suspend or terminate your access to our Services if you violate these Terms, engage in fraudulent activity, or misuse our platform.

11. Changes to These Terms

We may update these Terms from time to time. We will notify existing clients of material changes via email. Your continued use of our Services after any changes constitutes acceptance of the updated Terms.
